Terms of Service

1.1. Proprietary Service Definition: Youdah is a proprietary technology platform providing automated infrastructure for fundraising, brand promotion, and social impact. The Company acts strictly as a technology service provider for Campaign Partners.

1.2. Non-Gaming Utility: Youdah is a non-gaming and non-wagering platform. It does not facilitate or support unregulated lotteries for private profit.

1.3. Nature of Contributions: Any payment in a Paid Campaign is a voluntary contribution to a designated cause. Participation is motivated by the User's intent to support a mission. Any reward selection is incidental to the primary purpose of the contribution.

1.4. Jurisprudential Anchor: The platform is structured according to the standards established in G.R. No. 207118, ensuring all activities are categorized as legitimate fundraising for public and social welfare.

1.5. Platform Independence: Campaigns hosted on Youdah are in no way sponsored, endorsed, or administered by, or associated with Apple Inc, Google LLC, Meta Platforms, or any other third-party app store or social network.

2.1. Trademark Protection: YOUDAH is a registered trademark of Ryt Brain Tech Solutions Inc under Application No. 42026506775 for Class 35 services. All platform content, including but not limited to text, graphics, software, and trademarks, is the property of Youdah or its licensors. Unauthorized use is strictly prohibited.

2.2. Proprietary Protected Model: The Youdah campaign engine, turnkey fundraising framework, and automated selection protocols are a Proprietary Protected Model.

2.3. Confidentiality: Users are strictly prohibited from attempting to reverse engineer, decompile, or extract the underlying proprietary logic or selection algorithms. Any attempt to do so will result in immediate legal action.

3.1. Condition of Eligibility: Eligibility is a strict condition precedent to winning. A participant must be eligible at the time of entry and at the time of verification. Failure to meet eligibility requirements results in automatic disqualification, forfeiture of any prize, and no entitlement to claim.

3.2. Prohibited Participants: To ensure absolute integrity, the following parties are strictly prohibited from participating in any campaign or receiving any prize:

• Members of the Youdah Board of Directors, Founders, and Stockholders.
• Employees, consultants, and contractors of Ryt Brain Tech Solutions Inc.
• Immediate family members of the above (up to the 2nd degree of consanguinity or affinity).
• Official Youdah Partners and Ambassadors, including their staff, agents, and representatives, regardless of formal contractual engagement.
• Officers, personnel, residents, volunteers, or members of the designated Beneficiary organization, including any individual with a direct functional affiliation with the Beneficiary.

3.3. Definition of Affiliation: Affiliation refers to any form of connection, whether direct or indirect, formal or informal, written or unwritten, including but not limited to membership, employment, volunteer work, representation, or shared organizational identity. The absence of formal documentation does not exclude affiliation.

3.4. Anti-Circumvention: Any attempt to circumvent these Terms, including but not limited to using another person's identity, entering on behalf of a disqualified person, or concealing affiliation, shall result in immediate disqualification and account suspension.

3.5. Nullification and Final Authority: If an ineligible individual is identified before or after the draw, the result is void. Selection in a draw does not confer entitlement to a prize unless and until eligibility is confirmed. The Company reserves the absolute right to handle the resulting vacancy at its sole discretion. All determinations are final and binding.

4.1. Global Entry: Users outside the Philippines may participate via a verified WhatsApp account.

4.2. Localized Claiming: International winners must assign a Local Representative physically located in the Philippines to claim the prize on their behalf and undergo verification.

4.3. Logistics and Cash: The Company does not provide international shipping. Prizes are awarded as-is and are not convertible to cash, credit, or any substitute.

5.1. Minor Eligibility: For social impact initiatives targeting learners:

• Verification: Participation is permitted only with the verified consent of a parent or legal guardian.
• Data Safety: Educational data is processed with heightened security.

5.2. Guardian Responsibility: Parents or legal guardians assume full legal responsibility for any activity conducted by a minor under their supervision.

5.3. Data Privacy Act Compliance: All personal data collected during registration and verification is processed strictly in accordance with the Data Privacy Act of 2012. We collect only what is necessary for fulfillment and regulatory compliance, and this data is never sold to third-party commercial entities.

6.1. Identity Verification: A valid identification is mandatory for every winner. No prize shall be released without the following:

• Adult Winners: A valid government-issued ID.
• Minor Winners: A valid School ID along with a signed Parent and Guardian Letter of Consent and a copy of the Guardian's valid government-issued ID.

6.2. Claim Window: Potential Winners have sixty (60) calendar days from the date of official notification to acknowledge and claim their prize.

6.3. Forfeiture: Prizes left unclaimed after 60 days are considered void and forfeited. Forfeited prizes will not be subject to further selection processes.

6.4. Turnover Timeline: Once verification is approved, prize release may take 30 to 60 working days.

6.5. Domestic Logistics and Claiming: All physical prizes, especially large items such as motorcycles and vehicles, must be claimed at our designated turnover location. We are under no obligation to provide free shipping, freight, or transportation for any prize. The winner bears the sole responsibility and cost for transporting the prize to their address. While we may assist in arranging or coordinating shipment upon request, assuming any cost for such logistics is strictly at our absolute discretion and is never guaranteed.

6.6. Force Majeure: The Company shall not be held liable for any delays in turnover or fulfillment caused by events beyond our reasonable control, including but not limited to severe weather, natural disasters, logistical strikes, or regulatory changes.

7.1. Refunds: Refunds may be issued based on eligibility determination, system errors, or operational issues. All refund decisions are subject to review and approval by the Company.

7.2. Right to Modify: The Company reserves the right to modify, suspend, or cancel any campaign in cases of fraud, technical malfunction, eligibility issues, or events affecting campaign integrity. Such actions shall not constitute liability.

8.1. Transparency Documentation: Winners are encouraged to provide a photo or video confirming their notification and their reaction upon receipt to maintain the bayanihan spirit.

8.2. Publicity Release: By participating, winners grant the Company the right to use their likeness, image, or video for transparency and promotional purposes without additional compensation.

9.1. Corporate Limitation: To the maximum extent permitted by applicable law, in no event shall Ryt Brain Tech Solutions Inc, its directors, officers, employees, agents, or affiliates be personally liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the platform. All claims and disputes must be directed solely against the Company as a corporate entity.

9.2. System Integrity: The Company is not liable for technical disruptions, connectivity issues, or dead air during the selection process.

9.3. As-Is Provision: Physical prizes are awarded as-is. The Company is not the manufacturer and provides no warranties beyond those of the original manufacturer.

9.4. Liability Cap and Waivers: The Company shall not be liable for the loss of chance to win. The Company's total aggregate liability to any User for any and all claims shall not exceed the specific amount contributed by that User to the campaign in dispute.

9.5. Class Action Waiver: Users agree that any dispute resolution proceedings, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10.1. Jurisdiction: These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

10.2. Venue: Any legal proceedings shall be filed exclusively in the proper courts of the Philippines, to the exclusion of all other venues.
